I think part of the idea is that the material dampens vibrations of the panels that it is adhering to as well as absorbing and dispersing the sound energy. So if you just have the material sitting loosely on top of the panels, not only are they not dampening vibrations of the panel, but since they are not secured to anything, they too can vibrate to some extent.
Of course, with that said, even some thick carpet or fatigue mat can make audible improvements, so I would think that you would still probably see some benefit from it, right?
